Terms of service

Thank you for using Looti (“Looti”), our software-as-a-service that reveals your buyer persona and creates new list of lookalike leads.. The Looti Terms of Service are effective for the Customer (“the Customer”) after the date of application and are by and between Looti SAS, a French corporation, registered in the Paris Trade and Companies Register under number 90933665300011, with a place of business at 66 Avenue de Breteuil, 75007 Paris France, and the customer outlined in the online subscription process (“the Customer”) (each a “Party” and together with the “Parties”).

Use of Services 🧰

Looti ("Looti") provides its service via its beta.looti.io platform ("Looti Service").Looti provides services to connect your CRM Data or csv files, to do various operations such as cleaning, correction, enrichment, and organization of the Data. Looti creates a classification and persona profiling from the Data for qualifying your leads. Looti positions itself as a trusted third party to analyze your CRM Data.The Customer acknowledges and declares to have the necessary skills to understand Looti services and to ensure that the services offered by Looti are relevant and appropriate to its IT needs and infrastructure, particularly with regard to its Data Source connected or uploaded to Looti Services.The Customer is generally a natural person, acting on behalf of his employer, his instructing party, his partner, his management company, or his executive bodies.

2. Application ✅

2.1. Application and use process

Looti Services are available at the following address: https://app.looti.io.
To access the Services, the Customer must first create a dedicated account by entering an exact email address, which may be used by Looti to send notices relative to the Services, and define a personal and confidential password and provide the name of its company. To finalize the creation of an account, the Customer must have read and accepted these Terms of Service. Then, the Customer must connect or upload a Data Source to Looti.The connection or upload of the Customer's Data Source to Looti has several effects:
●  It constitutes express authorization given to Looti, by the Customer duly authorized, to view and process CRM Data so Looti can deliver the Service.
●  It gives Looti the right to store and use the Customer's credentials in order to be able to connect to the CRM, it is understood that this right to use may be revoked at any time and by any means by the Customer.

2.2. Maintenance of the Application
In order to continuously improve the Services, Looti reserves the right to update or install new versions of its Services. The Customer acknowledges that maintenance operations may make the Services temporarily unavailable. Looti implements a continuous development process, and should, in principle, be able to update the Services without any interruption of service. However, in the event that Looti should interrupt its Services to deploy a new version of the software, the company will endeavor to do so under the following conditions:In either case, these possible service interruptions will not give rise to any compensation.

2.3. Evolution of the Services
The Parties agree that Looti may, at its discretion, develop services. These evolutions will be enforceable against the Customer as soon as they are launched into production. In the event that the Customer refuses these changes, the Customer shall retain the right to terminate the contract under the conditions provided for in this Terms of Services.

2.4. Customer support
Technical support service is available at tom@looti.io or via an in-app chat, as soon as the questions relate to the use of Looti Services.

2.5. Application Date
Any Customer who uses the Services after the coming into force of the amended terms and conditions is deemed to have accepted these modifications. These terms and conditions came into force on 12, April 2022.

2.7 Application Law
These general terms and conditions are governed by French law. In the event of any dispute regarding the validity, interpretation, and/or execution of these terms and conditions, the parties agree that the courts of Paris shall have exclusive jurisdiction, save conflicting mandatory rules of practice.

3. License and Payment 💳

3.1. License
Looti hereby grants Customer a non-exclusive, non-transferable, non-sublicensable right to and license to access and use the Services for Customer’s internal business purposes, all subject to the terms and conditions of this Terms of Service.

3.2. PricingLooti has pricing depending on the use of credits, or qualified leads starting at 99 euros monthly.

4. Obligations 👋

4.1. Looti’s obligations
Looti agrees to fulfill the contractual obligations for which it is responsible with loyalty and good faith. More specifically, Looti agrees, without this list being exhaustive, to :

●  Provide Services in accordance with its business proposal;
●  Inform the Customer in good time of any malfunction or interruption of services;
●  Make every effort to limit malfunctions;
●  Meet legal and regulatory obligations, especially concerning GDPR rules;
● Ensure and be able to justify, at the Customer's first request, the methods used to guarantee the security of Customer Data;
However, the Parties expressly agree that Looti may collect and store Customer Data, in order to process them anonymously for R&D purposes and data calculation purposes, to improve its services, and train its AI model.

4.2. Customer’s obligations.

The Customer agrees to fulfill the contractual obligations for which he is responsible with loyalty and good faith. More particularly, the Customer agrees, without this list being exhaustive, to:

● Only make professional use of the Application;
● Communicate reliable and accurate data;
● Ensure GDPR compliance of its CRM Data;
● Inform Looti of any security breaches observed on the Customer's Looti account;
● In the event of non-compliance with these obligations by the Customer or one of his employees, Looti reserves the right to terminate the contract in accordance with the procedure detailed in this Terms of Service.

5. Use of Data🤖

5.1 Connecting to Third-Party Services.

The Customer may wish to connect third-party services to the Service. When the Customer uses a third-party service to connect with Looti, logs into the Services through a third-party authentication service, or otherwise provides Looti with access to information from a third-party service, Looti may obtain other information, including Personal Data, from those third parties and combine that Service or Usage Data based on the contract concluded by the Parties and on Looti’s legitimate interest in providing the Customer with functionality that supports the Services. Any access that Looti may receive to such information from a third-party service is always in accordance with the features and functionality, particularly as to authorization, of that service. By authorizing Looti to connect with a third-party service, the Customer authorizes Looti to access and store any information provided to Looti by that third-party service, and to use and disclose that information in accordance with this Terms of Service.

5.2 Third-Party Service Providers

The Customer agrees that Looti may provide Service Data and Personal Data to authorized third-party service providers, only to the extent necessary to provide, secure, or improve the Services. Any such third-party service providers will only be given access to Service Data and Personal Data as is reasonably necessary to provide the Services and will be subject to confidentiality obligations which are commercially reasonable and substantially consistent with the standards described in this Terms of Service; and their agreement to comply with the data transfer restrictions applicable to Personal Data as set forth below.

5.3. Customer Data Safeguards

Looti will not sell, rent, or lease Customer Data to any third party, and will not share Customer Data with third parties, except as permitted by this Terms of Service and to provide, secure, and support the Services.

5.4. Privacy Policy

Looti operates the Services and, as applicable, handles Personal Data, pursuant to the privacy policy.

5.5. Data Processing Agreement

The Data Processing Agreement constitutes the instructions given by the Customer to Looti regarding the processing of Personal Data, in accordance with GDPR, Article 28. Acceptance of the Data Processing Agreement is a condition precedent to the conclusion of the Terms of Service between the Parties and its entry into force.

5.6. Hosting and Processing.

Unless otherwise specifically agreed to by Looti, Customer Data may be hosted by Looti, or its respective authorized third-party service providers, in the European Union or other locations around the world. In providing the Services, Looti will engage entities to process Customer Data, including and without limitation, any Personal Data within Customer Data pursuant to this Terms of Services, within the EU and in other countries and territories. The Services offered by Looti are hosted on Amazon Web Services servers (via Vercel) located in the European Union.

6. Liability 💁

6.1. Looti’s responsibility

Looti is liable for the consequences resulting from its faults, failures, omissions or errors, except if they are the result of fault, failure, omission or error of the Customer or one of its employees or in the event of force majeure. However, Looti cannot be held liable for the veracity of the CRM Data, whose content remains the responsibility of the Customer from whom they originate. Similarly, in the event that a Customer has entered into and/or executed this contract without being duly authorized by, where applicable, his employer, instructing party, management company, executive bodies, etc., the said employer, instructing party, partner, management company, executive body, etc. may not hold Looti responsible, whatever the motive.6.2. Customer’s responsibility
The Customer guarantees that his employees will respect this Terms of Service. The Customer acknowledges that it is responsible for the following :
●  Being duly authorized by, when applicable, his employer, instructing party, management company, executive bodies, to fulfill his commitment with Looti and execute this contract;
● The use, by himself of secure, personal and confidential access code
●  The harmful consequences of errors, faults, omissions, failures committed by him or by any employee
●  Retention of his Data Source data, as their conversion into Processed CRM Data by Looti does not constitute legal archiving;The Customer is informed and accepts that the implementation of the Services requires his to be connected to the Internet and that the quality of the Services depends directly on this connection, for which he is solely responsible.Looti undertakes to carry out regular checks to verify the operation and accessibility of the Site. As such, Looti reserves the right to temporarily interrupt access to the Site for maintenance reasons. Looti cannot be held liable for momentary difficulties or impossibilities in accessing the Site due to circumstances beyond its control, force majeure as defined in article 1218 of the French Civil Code, or due to disruptions in telecommunications networks.Looti does not guarantee Customers (i) that the Services, which are subject to constant research to improve their performance and progress, will be totally free of errors, defects or faults, (ii) that the Services, being standard and in no way provided solely to a given Customer according to his own personal constraints, will specifically meet his needs and expectations.In any and all cases, the liability that may be incurred by Looti hereunder is expressly limited solely to proven direct damage suffered by the Customer.6.3. Relationship of the Parties
The Parties are independent contractors. This Terms of Service does not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the Parties.6.4 Intellectual property
The systems, software, structures, infrastructures, databases and content of any kind (texts, images, visuals, music, logos, trademarks, databases, etc.) operated by Looti are protected by all intellectual property rights or rights of database producers in force. Any disassembly, decompilation, decryption, extraction, reuse, copying and more generally, all acts of reproduction, representation, distribution and use of any of these elements, in whole or in part, without the authorization of Looti are strictly prohibited and may be subject to legal actions.

6.5 Marketing references

The Customer expressly authorizes Looti to quote him and to use, if necessary, the reproduction of his brand or logo as a commercial reference, in particular during events, in its commercial documents and on its website, in any form whatsoever.In case The Customer does not accept the amended terms and conditions, he must unsubscribe from the Services.

6.6  Data processed by Looti as part of the Services
The processing of Data by Looti is subject to the "Data processing agreement" accessible on the Site, which the Customer must expressly accept by checking a box in the registration form.
